Terms of Service

1. Who these terms are with
These terms form a legally binding contract between you (“you”, “your”) and DashVue Ltd, a company registered in England and Wales with company number 17160596and registered office at 51 Woodland Vale Road, St Leonards-on-Sea, East Sussex, TN37 6JJ, United Kingdom (“DashVue”, “we”, “us”, “our”).
By creating an account, accessing, or using the Service you confirm that you have read, understood and agree to be bound by these terms and our Privacy Policy. If you don’t agree, you must not use the Service.
You must be at least 18 and have legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these terms.
Some parts of these terms are written for businesses, but if you are a consumer (including many sole traders buying for purposes outside their trade) you have additional rights under UK consumer law. Nothing in these terms removes or reduces those statutory rights — see § 7.2 and § 12.
2. The Service
DashVue is an analytics and management dashboard for eBay sellers operating in the United Kingdom. The Service includes:
- Sales analytics, profit-and-loss reporting, and financial dashboards
- Inventory tracking and management
- Cost of goods sold (COGS) tracking with AI-powered invoice import
- Order management, pick lists, and invoice generation
- Expense tracking with receipt upload
- Seller feedback monitoring and health scoring
- Calendar and tax reporting tools
- AI-powered tools for drafting and improving eBay listings — see § 5 below
- Rule-based repricer for automated price adjustments — see § 6 below
- Shipping label purchase through a Parcel2Go wallet (buy and print postage labels)
- Integration with eBay via official eBay APIs (OAuth 2.0)
2.1 What DashVue can write back to eBay
DashVue does more than read your eBay data — with your authorisation it can also make changes to your eBay account. So you know exactly what the Service can do, here is every way DashVue writes to eBay:
- Publish new listings — when you click Publish on a draft, DashVue creates and lists a new fixed-price item via eBay’s Inventory and Offer APIs.
- Revise prices, manually — bulk price-drop applies a price change to the listings you select via eBay’s Trading API.
- Revise prices, automatically — the repricer changes prices on a schedule based on rules you set (see § 6).
- Revise photos — the Image Editor pushes edited photos to your live listings via eBay’s Trading API.
- Rewrite titles and descriptions — bulk AI rewrite updates the titles (and optionally descriptions) of listings you confirm.
- Send offers to buyers — you can send discount offers to interested buyers (watchers) via eBay’s Negotiation API.
- Push tracking and fulfilment updates where the relevant feature is enabled.
Every one of these write actions requires a Full Access eBay connection (a read-only connection cannot make changes). With the single exception of the repricer (which, once you switch it on, runs on its own schedule — see § 6), each of these actions only happens when you trigger it.
2.2 Plan and account-type gating
What “the Service” includes for you depends on your plan and your eBay account type:
- The AI features (§ 5) and the eBay write features (repricer, bulk price-drop, bulk rewrite, Image Editor, publishing, send-offer) require the relevant paid plan and a Full Access eBay connection.
- Shipping (the Parcel2Go wallet and label purchase) is available to Business eBay accounts only. It is not available to Individual / Private eBay accounts.
DashVue is an independent third-party application and is not affiliated with, endorsed by, or sponsored by eBay Inc. eBay is a registered trademark of eBay Inc.
3. Your account
- You must keep your password secure and not share account access.
- If you suspect unauthorised access, sign out from all devices in Settings → Danger Zone and email support@dashvue.co.uk.
- You must provide accurate, current and complete information during registration and keep it accurate. We may suspend accounts containing inaccurate or misleading information.
- You are responsible for all activity under your account.
4. eBay account connection
The Service requires you to connect your eBay seller account through eBay’s OAuth 2.0 authorisation flow. You choose whether to grant a read-only connection (DashVue can read your data but cannot change anything on eBay) or a Full Accessconnection (which additionally lets you use the write features listed in § 2.1). By connecting, you authorise DashVue to access your eBay seller data as described in the Privacy Policy and as permitted by eBay’s API terms.
Your use of eBay is governed by eBay’s own User Agreement and policies. We sync your inventory, orders and finances periodically — currently about every six hours — so there may be a delay (typically up to six hours) between changes on eBay and their reflection in DashVue. The repricer runs on its own separate schedule (see § 6), so price changes it makes may post on a different cadence to the main data sync. DashVue should not be used as the sole source of truth for your eBay account.
You may disconnect your eBay account at any time from Settings. Upon disconnection, all eBay-sourced data is permanently deleted in accordance with our retention policy. If eBay notifies us under their Marketplace Account Deletion API that an end-user has closed their account, we will anonymise that user’s data across our systems within minutes — see the Privacy Policy for details.
5. AI-powered features
Some features use Anthropic’s Claude API. These AI features include, but are not limited to:
- AI invoice import — reading an uploaded invoice to extract suppliers, dates, items and prices, and matching those items to your inventory.
- AI listing helper and Create Listing — generating a draft listing (title, description, item specifics, keywords, category suggestion) from your rough description, your photos, pasted text, or a product-page URL you provide.
- Bulk AI rewrite — proposing rewritten titles and descriptions for your existing live eBay listings.
- Ask DashVue — an optional, opt-in chatbot that answers questions about your own business data (such as your fees, profit and VAT). It is off until you turn it on, and turning it on records your consent.
The listing and copy-generation features are powered by the Claude Sonnet model family; the invoice tools and Ask DashVue use the lighter, faster Claude Haiku model family. We may use different or newer models over time.
We only ever send your own seller data to Anthropic for these features (for example your product description, your photos, your invoice line items, your existing listing title, or aggregated metrics from your own account). We never send buyers’ personal information— names, addresses, usernames or contact details — to Anthropic. Per Anthropic’s API terms, Anthropic does not use API inputs or outputs to train its models.
AI-generated output is provided as suggestions only and may contain errors. You are responsible for reviewing and confirming all AI output before applying it to your account or publishing it on eBay. We never auto-publish AI-generated content or new listings to eBay without your explicit confirmation.For edits to live listings (such as the bulk rewrite), AI first produces a draft for you to review, and only the items you confirm are sent to eBay — a two-phase model that also reflects the eBay Developer Program API License. The one exception to the “nothing happens without you clicking” rule is the rule-based repricer: once you enable it (and switch off Dry Run) it adjusts prices automatically on the schedule and within the limits you configure — see § 6.
Our AI never invents prices and never infers or seeds prices from scraped or third-party marketplace data; pricing is always taken from your own data and the rules and figures you set (consistent with the eBay API License). DashVue is not liable for inaccuracies in AI-processed data that you have reviewed and applied.
AI features are subject to monthly usage limits based on your plan, plus per-hour rate limits to prevent abuse. We reserve the right to adjust limits at any time with reasonable notice.
6. Repricer and automated price changes
When you enable the repricer, DashVue can automatically change the listed price of your eBay items based on rules youdefine. By enabling the feature you authorise DashVue to make those price changes on your behalf via eBay’s Trading API. The repricer requires a Full Access eBay connection.
- It runs automatically. When the repricer is enabled and not in Dry Run, it runs automatically on a recurring schedule (currently roughly every few hours) and applies matching price changes without asking you each time. There is no per-cycle confirmation step. To preview rules without any changes going to eBay, keep Dry Run switched on.
- Safe by default. When the repricer is first set up, Dry Run is switched on by default, so no prices change on eBay until you deliberately switch Dry Run off.
- Your rules, your responsibility. You configure every rule. You set the floor and the ceiling. You set the minimum margin. We provide sensible defaults and visible safety nets, but the final configuration is yours.
- Safety nets. The engine enforces a mandatory floor price, a minimum margin, a maximum daily change count per item, a maximum single-cycle price drop, and (where set) an upper price ceiling. You can enable Dry Run mode (rules evaluate but no eBay calls fire) for as long as you wish.
- Pause / undo. You can pause the repricer entirely or per-item at any time, and you can revert any cycle’s price changes via the History page, which logs every evaluated item.
- Liability. DashVue is not liable for revenue lost or sales missed due to a misconfigured rule or per-item override that you set. We are responsible for ensuring the engine respects your configured limits — if a bug in our engine pushes a price below the floor you configured, that’s on us. Our Privacy Policy § 4 (Automated decision-making) covers your rights in relation to this automated processing.
7. Subscription & payment
7.1 Key things to know before you subscribe
So you have the key facts up front (as UK subscription law requires):
- Free trial — Core and Pro + AI. The Core (£24.99/month) and Pro + AI (£33.99/month) plans start with a 14-day free trial, and we do not ask for a card to begin it. During the trial you pay nothing.
- No free trial — Solo. The Solo (£9/month) plan does not include a free trial: you enter a card at checkout and your first payment is taken when you subscribe.
- What happens at the end of a free trial. If you have not added a payment method by the time your 14-day trial ends, Stripe simply pauses your subscription — it does not charge a card you never gave us. Your dashboard then shows a prompt to add a card if you want to keep going. To start paying (and keep your access), add a payment method in Settings → Billing before the trial ends; from that point the plan price is billed in advance for each billing period.
- Returning customers. The free trial is once per customer. If you have already used a trial before, you are charged immediately at checkout rather than being given a second free trial — the Settings → Billing page makes this clear before you confirm.
- What you pay and how often, once paying. Once a paid subscription is running, plans are monthly or annual and are billed in advance via Stripe. The current price and billing frequency for each plan are shown clearly at checkout before you confirm.
- Currency and VAT. Prices are quoted in GBP. Any VAT that applies is shown by Stripe at checkout; DashVue Ltd’s VAT-registration status is set out on our Company Information page.
- It auto-renews. Once you are on a paid subscription (after any free trial, or from day one on Solo), it automatically renews at the end of each billing period using your stored payment method, and continues until you cancel.
- How to cancel. You can cancel at any time, in a few clicks, from Settings → Billing — no phone calls and no need to email us.
7.2 Billing, renewal and cancellation
- Free trial, then billing. On Core and Pro + AI you pay nothing during the 14-day free trial. If you do not add a payment method before the trial ends, Stripe pauses the subscription and no payment is taken; if you add a card, paid billing begins from the end of the trial. On Solo there is no trial and your first payment is taken at checkout.
- Auto-renewal. Once a paid subscription is running, it auto-renews at the end of each billing period using your stored payment method, until you cancel. We aim to send you a reminder before each renewal; whether or not a reminder reaches you, you can cancel at any time from Settings.
- Cancelling. You can cancel at any time from Settings → Billing. If you cancel during a free trial, the trial simply ends and your access stops — there is nothing to pay. If you cancel a paid subscription, cancellation takes effect at the end of the current billing period and you keep access until then.
- Refunds. We don’t generally refund partial billing periods. (If you are on a free trial you have not paid anything, so there is nothing to refund.) This does not affect your statutory refund rights — for example where the Service is faulty, not as described, or not provided with reasonable care and skill, or where you exercise the cooling-off right in § 7.3.
- Failed payments. If a payment fails on a paying account, Stripe will automatically retry over a short grace period (typically about 7 days). If payment is still not received after that period, we may suspend your access to premium features until payment is brought up to date.
- Price changes. We may change pricing or plans with at least 30 days’ notice by email, taking effect from your next renewal.
7.3 Cooling-off and easy exit (UK consumers / eligible sole traders)
If you buy as a consumer, distance-sold subscriptions carry a 14-day cooling-off right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. The easiest way to exercise it is the same self-serve route as any other cancellation: cancel in a few clicks from Settings → Billing. If you’d rather, you can instead email support@dashvue.co.uk within 14 days of first sign-up — a clear statement that you wish to cancel is enough.
Because the free trial and the cooling-off period overlap, what happens next depends on whether you have actually been charged:
- If you are on a free trial (Core or Pro + AI, no card given). You have not paid anything yet, so there is nothing to refund. Cancelling during the trial simply ends the trial and stops your access straight away — there is no charge and no pro-rata amount to pay.
- If you have paid (Solo from day one, a returning customer charged immediately, or once your paid plan has started). Because DashVue gives you immediate access, you are asked at checkout to expressly request that we begin providing the Service straight away and to acknowledge that, by doing so: (a) you will lose the right to cancel once the Service has been fully performed; and (b) if you cancel within the cooling-off period after we have started, we may charge you a fair, pro-rata amount for the part of the subscription period already supplied up to the moment you told us you wished to cancel, and refund the balance. If you do not give that request, supply begins after the 14-day period.
7.4 Your statutory rights
DashVue is a paid digital service. Under the Consumer Rights Act 2015, where you are a consumer we must provide the Service with reasonable care and skill, and any digital content must be of satisfactory quality, fit for purpose, and as described. If we fall short, you may be entitled to a repeat performance, a price reduction, or a refund. Nothing in §§ 7, 11 or 12 affects these statutory rights.
8. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Use DashVue to circumvent eBay’s own terms, policies, or rate limits.
- Attempt to gain unauthorised access to the Service, other user accounts, or our systems.
- Reverse-engineer, decompile, or scrape any part of the Service.
- Use automated scripts, bots, or scraping tools against the Service outside of normal use.
- Share your account credentials with third parties or allow others to access the Service through your account.
- Upload malicious files, viruses, or harmful content.
- Use the Service to infringe upon third-party intellectual property rights.
- Resell, redistribute, or commercialise any part of the Service without our written consent.
- Use DashVue to aggregate competitor pricing data across sellers in a way that breaches eBay’s API License (eBay restricts use of marketplace data for cross-seller analysis without express written permission).
- Knowingly abuse AI features to burn quota — we apply per-hour and per-month rate limits and reserve the right to throttle.
DashVue works only with your owneBay data. The repricer and our AI features read only the data in your own connected account and apply only the rules and inputs you provide; they do not pull in competitor prices or aggregate other sellers’ marketplace data. This keeps the Service within the eBay Developer Program API License, and you must not try to use the Service in a way that would breach it.
We reserve the right to suspend or terminate your account if we reasonably believe you have breached this section.
9. Your data
You own all data you input into or upload to the Service. By using the Service, you grant us a limited, non-exclusive licence to process and store your data solely for the purpose of providing the Service to you. The full breakdown of who is controller / processor for each category is in the Privacy Policy.
You can export your data at any time from Settings → Danger Zone → Export my data(delivered as a JSON file; we ask you to re-enter your password first). There are two separate deletion options in Settings → Danger Zone:
- Delete all DashVue data clears your dashboard data — such as orders, expenses, inventory and sync history — while keeping your account open.
- Delete account removes everything, including your settings, repricer rules, listing drafts and your subscription, and closes your account. We ask you to re-enter your password first.
Account deletion takes effect immediatelyin our live systems. Residual copies in our hosting providers’ encrypted backups are overwritten on the providers’ normal rotation cycle (up to around 30 days). A limited set of records that we are legally required to keep — for example billing records under the Companies Act 2006, which are held by our payment processor — are retained separately for the period the law requires.
10. Intellectual property
The Service — including its design, code, features, branding, logos, documentation, and the dashboard layouts — is owned by DashVue Ltd and is protected by intellectual property laws. Nothing in these terms grants you any right to use the DashVue name, logo, or branding without our written consent.
Data sourced from eBay through their APIs (“eBay Content”) remains the property of eBay Inc. and is subject to eBay’s terms. We display eBay Content within the Service solely to provide analytics to you as the authorised eBay account holder.
11. Disclaimers
The disclaimers in this section are subject to § 7.4 and § 12: where you are a consumer, they do not exclude or limit your statutory rights, including our duty to provide the Service with reasonable care and skill.
11.1 Service availability
The Service is provided on an “as is” and “as available” basis. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may conduct scheduled or unscheduled maintenance.
11.2 Financial information
DashVue is an analytics tool, not an accounting or tax advisory service. The financial data, calculations, reports, and estimates provided by the Service are for informational purposes only and should not be relied upon as professional accounting, tax, or financial advice. You are solely responsible for the accuracy of your tax returns and financial records. We strongly recommend consulting a qualified accountant or tax professional for formal financial and tax matters.
11.3 VAT and tax calculations
While DashVue provides VAT calculations and tax reporting features based on the settings you configure, we do not guarantee the accuracy of these calculations for HMRC submission purposes. You are responsible for verifying all tax figures independently.
11.4 COGS estimates
When using Simple COGS mode (flat rate or percentage), cost figures are estimates and are not linked to actual purchase transactions. These estimates should not be relied upon for formal accounting or tax purposes. For accurate cost tracking, use Advanced COGS mode with actual purchase data.
11.5 Third-party dependencies
Some features rely on third parties — for example eBay (marketplace data and write actions), Stripe (billing), Anthropic (the AI features in § 5), Parcel2Go (shipping labels), Supabase (database, authentication and file storage), Vercel (hosting), Cloudflare (DNS and edge proxying), and Resend (transactional email). If those services are degraded or unavailable, the corresponding feature may be unavailable. We’re not liable for outages we don’t control. The full, up-to-date list of the processors that handle personal data, and where they process it, is in the Privacy Policy.
12. Limitation of liability
This section is subject to the non-exclusion list below and to your statutory rights as a consumer (§ 7.4). The cap and exclusions in this section do notapply to any of the matters we cannot lawfully limit, and do not affect a consumer’s remedies for a service not performed with reasonable care and skill or digital content that is not as described.
To the maximum extent permitted by law:
- DashVue shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising from your use of or inability to use the Service.
- Our total aggregate liability for any claim arising from or related to these terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.
- We are not liable for any loss or damage caused by eBay API changes, eBay service disruptions, or changes to eBay’s policies that affect the Service.
- We are not liable for any errors in AI-generated data that you have reviewed and confirmed.
- We are not liable for revenue lost or sales missed due to a misconfigured repricer rule that you set, save where loss is caused by a defect in our engine itself.
Nothing in these terms excludes or limits our liability for:
- Death or personal injury caused by negligence (Unfair Contract Terms Act 1977 s. 2);
- Fraud or fraudulent misrepresentation;
- Breach of the implied terms as to title under the Sale of Goods Act / Consumer Rights Act 2015 to the extent applicable;
- The statutory rights of a consumer under the Consumer Rights Act 2015 (including the right to a service provided with reasonable care and skill);
- Any other liability that cannot be lawfully excluded under English law.
13. Indemnification
If you use the Service as a business (not as a consumer), you agree to indemnify, defend, and hold harmless DashVue Ltd, its directors, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these terms; (c) your violation of any rights of a third party; or (d) inaccurate data you provide to or through the Service. This clause does not apply to you to the extent you are acting as a consumer.
14. Termination
Either side can terminate at any time. You can terminate by deleting your account at Settings → Danger Zone or by emailing support@dashvue.co.uk. We may suspend or terminate your access to the Service if (a) you breach these terms; (b) your subscription payment fails and is not remedied within the grace period; (c) we are required to do so by law; or (d) we discontinue the Service. Where reasonably possible we will provide notice before termination.
Sections that by their nature should survive termination will survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.
15. Changes to these terms
We may modify these terms. We’ll notify you of material changes by email or by posting a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the revised terms. If you do not agree, you must stop using the Service before the changes take effect.
16. General
16.1 Governing law and jurisdiction
These terms are governed by the laws of England and Wales. Any dispute is subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, this does not deprive you of any protection given by the mandatory laws of your country of residence.
16.2 Entire agreement
These terms, together with our Privacy Policy, constitute the entire agreement between you and DashVue regarding the Service and supersede all prior agreements and understandings.
16.3 Severability
If any provision is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16.4 Waiver
Our failure to enforce any right or provision shall not be deemed a waiver of that right or provision.
16.5 Assignment
You may not assign or transfer your rights under these terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets.
16.6 Force majeure
We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, strikes, government actions, or disruptions to internet or hosting infrastructure.
16.7 Third-party rights
These terms do not give any third party (other than DashVue Ltd) any rights under the Contracts (Rights of Third Parties) Act 1999.
